Tom Rocco, Esq.

General Counsel

Tom Rocco has extensive experience with business and real estate transactions in both the public and private sector. As Corporate Counsel for Equity, Tom represents Equity and its affiliated entities in development and construction projects; financing and refinancing transactions; and in general corporate matters. Some representative transactions in which Tom has been involved are the sale of an major hospital systems suburban medical campus for an amount in excess of $47,000,000 and the development and construction of the estimated $135,000,000 Nexton Medical Campus to be located in North Charleston, SC.   Tom has negotiated hundreds of tenant leases on behalf of closely held entities, as well as ground leases for retail and healthcare projects.  He also manages outside counsel engaged to provide services to the corporation or related entities, to the firm’s offices around the country.  Tom has played a pivotal role in the redevelopment and refinement of Equity’s standard leases for each real estate project type, as well as collaborating on work flow for company processes that include a final legal review.

In the public sector, he served as a Senior Assistant Attorney General with the Ohio Attorney General’s Business Counsel Section. In this position, Tom represented numerous state entities and was involved in contract bidding, awarding, negotiating, and drafting state contracts and conducting real property title reviews for his clients. He was a presenter in the Ohio Attorney General’s State Contracting Continuing Legal Education (CLE) course and he has represented the Ohio Division of Financial Institutions, the Ohio Division of Securities, the Ohio State Racing Commission and various other state agencies in licensing and enforcement matters.

Prior to joining Equity, in the private sector, Tom participated in numerous real estate transactions and mergers and acquisitions involving manufacturing and automobile dealerships. He also provided guidance to business startups, including formation and corporate governance issues. Tom has extensive experience in handling franchise agreements, employment agreements, stock options, deferred compensation and non-compete provisions.
